At Avila Legal Counsel P.A., we provide aggressive representation in contract disputes, whether you're enforcing an agreement or defending against breach of contract claims. Our goal is to protect your rights and achieve the best possible outcome for your situation.

Comprehensive Contract Litigation Services

Contracts form the foundation of business relationships and personal transactions. When disputes arise, you need experienced counsel who understands both the legal complexities and the business implications. We handle all types of contract disputes, including:

  • Breach of Contract Claims: Representing plaintiffs seeking damages when another party fails to perform their contractual obligations, whether the breach is partial, material, or total.

  • Breach of Contract Defense: Defending businesses and individuals accused of breaching contracts, including asserting defenses based on impossibility, frustration of purpose, or the other party's own breach.

  • Written and Oral Contracts: Litigating disputes involving both written agreements and verbal contracts, including establishing proof of oral agreements and their terms.

  • Commercial Contracts: Resolving disputes over vendor agreements, service contracts, purchase agreements, licensing agreements, and other business-to-business transactions.

  • Construction Contracts: Handling disputes between property owners, contractors, and subcontractors regarding performance, quality of work, payment, and project delays.

  • Employment Contracts: Litigating disputes over employment agreements, non-compete clauses, severance agreements, and compensation disputes.

  • Real Estate Contracts: Addressing breaches of purchase agreements, lease agreements, and property management contracts.

  • Partnership and Shareholder Agreements: Resolving disputes among business partners and shareholders when agreements are violated.

  • Contract Interpretation: Litigating disagreements over the meaning of contract terms, ambiguous language, or the parties' intentions.

Understanding Contract Disputes

A breach of contract occurs when one party fails to fulfill their obligations under a legally binding agreement. Common issues that lead to contract disputes include:

  • Failure to pay for goods or services

  • Failure to deliver goods or complete services as promised

  • Substandard quality of work or materials

  • Missed deadlines and late performance

  • Violation of non-compete or confidentiality provisions

  • Disputes over contract interpretation

Our Strategic Approach

Not every contract dispute needs to end in expensive litigation. We begin by thoroughly reviewing your contract and the circumstances surrounding the dispute. Our strategic approach includes:

  • Case Evaluation: We analyze the strength of your position, potential damages, and the most cost-effective path forward. We review the contract terms, correspondence, and evidence to build your case.

  • Negotiation and Settlement: When appropriate, we pursue resolution through negotiation, potentially saving you time, expense, and the uncertainty of trial. Many contract disputes can be resolved through skillful negotiation.

  • Alternative Dispute Resolution: If your contract includes arbitration or mediation clauses, we represent you in these forums to reach efficient resolutions.

  • Aggressive Litigation: When settlement isn't possible or in your best interest, we're prepared to take your case to trial. We present compelling evidence and arguments to protect your rights and recover what you're owed.

Available Remedies

Depending on the nature of the breach and your specific situation, we pursue various remedies including:

  • Compensatory damages for financial losses

  • Consequential damages for additional harm resulting from the breach

  • Specific performance requiring the breaching party to fulfill their obligations

  • Rescission canceling the contract and returning parties to their pre-contract positions

  • Reformation correcting errors in the written agreement

  • Attorney's fees and costs when provided by contract or statute

Time is Critical

Florida law imposes strict statutes of limitations on contract claims—typically five years for written contracts and four years for oral contracts. Waiting too long can forfeit your right to pursue legal action. The sooner you consult with an attorney, the better we can protect your interests and preserve evidence.

Path to Permanent Residence

While business visas are nonimmigrant classifications, certain visa holders may be eligible for green cards:

  • L-1A holders can later pursue permanent residence through the EB-1C category for multinational managers and executives, often without labor certification

  • E-2 investors may later qualify for EB-5 investor green cards or other employment-based categories

  • Treaty visa holders can explore EB-2 or EB-3 categories when sponsored by their U.S. employer

We advise clients on all available pathways to permanent residence and help develop long-term immigration strategies aligned with business goals.

Why Choose Avila Legal Counsel P.A.

Business immigration requires both legal expertise and business acumen. We provide:

Time is Critical

Starting early ensures sufficient time to gather required evidence, prepare business plans, and address any complications that may arise. Premium processing is available for many visa categories, reducing processing time to 15 business days for an additional fee paid to the government.
